These Terms and Conditions ("Terms", "Agreement") govern your access to and use of the software-as-a-service platform operated by CentraBills ("Company", "we", "us", or "our") via https://centrabills.com ("Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, you must not use our Service.

1. Eligibility & Account Registration

• You must be at least 18 years of age and have the legal capacity to enter into binding contracts under applicable law.
• To access the Service, you must register for an account and provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your login credentials.

2. Service Description

We provide cloud-based software services to help users manage and automate their bills and email communications. Optional features powered by artificial intelligence (AI) may be made available. See section 8 for more on AI.

3. Subscription & Payments via Stripe

• Billing: Access to certain features requires a paid subscription. All payments are securely processed by Stripe. We do not store credit card details.
• Payment Terms: You authorize us (via Stripe) to charge your payment method on a recurring basis per your subscription. Fees are billed in advance and are non-refundable, unless required by law.
• Taxes: You are responsible for any applicable VAT, GST, sales tax, or other local tax.
• Free Trials: If offered, free trials are one-time per user or organization unless otherwise stated.

4. Uptime & SLA

• Availability: We target 99.9% uptime monthly, excluding scheduled or emergency maintenance, third-party service issues, or force majeure events.

5. Acceptable Use

You agree not to misuse the Service. Prohibited uses include:

• Illegal activities or violations of any applicable law
• Reverse engineering or unauthorized copying
• Uploading viruses or malicious code
• Using AI features to process personal or sensitive data without legal basis

6. Intellectual Property

All Service content and functionality is owned by CentraBills or its licensors. You are granted a non-exclusive, non-transferable license to use the Service during your active subscription.

7. Data Protection & Privacy

Your data is handled in compliance with:

• UK Data Protection Act 2018
• EU GDPR
• California CCPA (where applicable)

8. AI Usage Disclaimer

• AI-powered features are optional and may be toggled on or off in your settings.
• By using these features, you agree that content may be sent to third-party AI providers (e.g., OpenAI, Anthropic).
• We aim to anonymize data but cannot guarantee it is completely risk-free.
• You must not submit personally identifiable or legally sensitive data without proper consent and legal basis.
• We are not responsible for decisions made based on AI output.

9. Termination

We may suspend or terminate your access if you breach these Terms. Upon termination, your rights cease immediately and data retention will follow our legal obligations and internal policy.

10. Disclaimers

The Service is provided “as is” and “as available”. We disclaim all warranties, including merchantability and fitness for a particular purpose. No guarantee is made of uninterrupted or error-free service.

11. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the amount you paid in the prior 12 months.
• We are not liable for indirect or consequential damages.
• This does not limit our liability for fraud, death, or personal injury caused by our negligence.

12. Governing Law

• For UK users: governed by the laws of England and Wales.
• For EU users: governed by the laws of the Republic of Ireland.
• For US users: governed by the laws of the State of Delaware, USA.
• Disputes shall be resolved exclusively in the courts of the applicable jurisdiction.

13. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use of the Service implies acceptance of changes.
